This is not a drafting update; it is a complete redrawing of the relationship between creditor and debtor, starting with a step that comes before the request is even filed and ending with the last riyal distributed from the enforcement proceeds.

If your company sells on credit, relies on promissory notes to collect its receivables, or if you sit in the management chair of a company with outstanding obligations, this article sets out the most important changes, and what you should do before you discover them in an enforcement request.

An unregistered promissory note is no longer an enforceable instrument

This is perhaps the most serious change for creditor companies. Bills of exchange and promissory notes are no longer enforceable instruments merely because they meet their formal requirements: Article 7 of the Law requires them to be registered on the national electronic platforms, and the Regulations make their registration conditional on the obligor’s consent and on their containing the data required for their validity.

Notes issued before the Law came into force have been given a one-year grace period by the Royal Decree, during which they are treated as enforceable instruments without registration. Once that year ends, an unregistered note turns from a document that can be enforced directly into one that requires a full lawsuit, with all the additional months, and possibly years, that means before collection.

In practice, every company holding existing promissory notes should review them now, not when the deadline approaches, and make registration on the platform part of its credit-sale procedure from day one, since a client’s consent to registration is far easier to obtain at signing than at default. Cheques, by contrast, remain enforceable instruments as before.

Before filing: a mandatory notice that starts the clock

Where the debtor is a company or any other private legal person, the Regulations require the creditor to notify it of the demand for payment at least five working days before filing the enforcement request. The notice is sent through the Ministry’s electronic systems unless the parties have agreed otherwise in writing.

This may look like a restriction on the creditor, but it actually hands the creditor a weapon: from the date of the notice, all of the debtor’s assets secure its debts, and any gift, donation, early payment of a debt, or unusual contract made by the debtor after the notice and before attachment may be annulled by the court at the creditor’s request against whoever received the asset. Any disposal after the attachment order is issued is void by law.

Conversely, a debtor company must take the notice seriously from the moment it arrives, because unusual transactions concluded after it may be reopened later.

Five working days, then compulsory enforcement begins

Once the judgment debtor is notified of the enforcement order, Article 18 gives it only five working days. If it does not comply, compulsory enforcement begins immediately: the licensed credit bureaus are notified of the non-compliance, and its assets are attached together with anything it is due to receive in the future, including amounts owed to it by government entities, a point that deserves attention from companies contracting with public bodies.

On top of that, the court may impose a fine of up to SAR 5,000 for each day of delay, capped at the amount of the debt being enforced, and the proceeds go to the State, not to the creditor.

The legitimate way out for a debtor who needs time is to provide a bank guarantee sufficient to satisfy the claim, which earns it an additional ten working days before enforcement measures begin.

A travel ban is no longer automatic. It is issued at the request of the enforcement applicant for up to three years, extendable by a new request to a maximum of six years. The Regulations require that it be issued only where attachment of assets sufficient to satisfy the debt is not possible, and it is lifted once the remaining debt does not exceed SAR 50,000.

The company’s manager: no longer included automatically, but obstruction will not go unpunished

Under the previous law, naming the statutory representative in an enforcement request against a company was enough for the measures to extend to him by virtue of his position. The new Law and its Regulations do not provide for this at all. Article 41 limits the application of enforcement measures to the company’s personnel who cause the obstruction of enforcement, and the Regulations define such a person as one proven to have obstructed enforcement by his own act, or to have refrained from taking a step within his authority while able to do so. They state expressly that the company’s mere failure to comply is not enough to treat any of its personnel as responsible, and that this must be established by questioning him, presenting the evidence to him and allowing him to respond.

Anyone who reads this as a relaxation is misreading it. Once responsibility is established, the full direct-enforcement regime applies to that person: a travel ban, a fine of up to SAR 10,000 per day, then detention of up to 180 days, which may be extended. On top of that sits the criminal track: the Law punishes deliberately obstructing enforcement, concealing or smuggling assets, failing to respond to questioning, or providing misleading information with imprisonment of up to three years and a fine of up to SAR 1 million, and anyone who participates by agreement, incitement or assistance faces the same penalty.

The message to managers is clear: your position alone no longer puts you in the enforcement request, but your decisions are what you will be held accountable for. The message to creditors is clearer still: pressure on those who run the company remains possible, but it now requires a file of evidence, not just a name in the Commercial Register.

Hidden assets are no longer hidden

The judgment debtor must disclose its assets within five working days of notification, including unregistered assets, assets outside the Kingdom and assets held by third parties. Where there is evidence of concealment, the court may order disclosure by its agents, employees, financial counterparties and debtors, and may order its assets traced by licensed tracing service providers, who submit their report within ninety days. Tracing may include field inspection and reaches back to the date the right arose, not the date of enforcement, and the court may extend it further. The court may also question the debtor’s relatives, agents, employees and anyone suspected of receiving smuggled assets, and have them brought by force where necessary.

What protects the debtor company?

The Law is not a sword hanging over one side only. Attachment is limited to the amount of the debt, a debtor with assets exceeding the debt may designate which assets enforcement should start with, and the Regulations require enforcement against companies to begin with assets that do not disrupt their business. The debtor may also be allowed to sell its assets voluntarily within a period not exceeding sixty days, instead of having them sold at auction below their value.

Conversely, a creditor who has been paid outside the enforcement process must close its request within one working day, and delaying closure with the intent of harming the debtor is an offence punishable under the Law.

What should your company do now?

If your company is a creditor:

Review your existing promissory notes before the one-year grace period ends, and decide which to enforce and which to pursue another way.

Make registration of new notes on the electronic platform part of your contracting procedure, and obtain the client’s consent at signing.

Remember that an enforcement request will not be accepted on an instrument more than ten years past its due date.

If a debtor company defaults, start with the prior notice, and from day one build a file of evidence on whoever is obstructing enforcement within it.

If your company is a debtor:

Take the notice and the enforcement order seriously from the moment they arrive; the deadlines are short and start automatically.

Disclose your assets accurately; misleading information is a separate offence.

Use the legitimate tools: a bank guarantee, designating the assets to be enforced against first, and voluntary sale.

If there are measures still in place against your manager by virtue of his position from the previous law, have your adviser review them, as there may be grounds to lift them.

Talk to us

At <a
